1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Footwear Foundationz Inc. ("Company," "we," "us," or "our") governing your access to and use of the NUKIX mobile application ("App") and all related services, features, content, and functionality. By downloading, installing, registering for, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (incorporated herein by reference). If you do not agree to these Terms, you must immediately cease all use of the App and delete it from your device.

2. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to create an account and use the App. The App may be used by parents or legal guardians to scan and monitor the foot health of their minor children. Parents and guardians are solely responsible for any use of the App on behalf of their children and must provide verifiable consent for the collection and processing of their child's data in accordance with our Privacy Policy and applicable law.

3. Account Registration and Security

To use certain features of the App, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We reserve the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.

4. Description of Services

NUKIX provides AI-powered foot scanning and analysis services, including:

•       AI-driven foot condition detection and analysis using images and video captured by your device

•       Personalized diagnostic reports and treatment plans

•       Recommended exercises, stretching programs, and corrective insole suggestions

•       Scan history tracking and progress monitoring over time

•       Personalized video content related to treatment plans

5. Medical Disclaimer

IMPORTANT: THE APP IS INTENDED FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. NUKIX IS NOT A MEDICAL DEVICE AND DOES NOT PROVIDE MEDICAL DIAGNOSES, MEDICAL ADVICE, OR TREATMENT. The AI-generated reports, recommendations, and treatment plans provided by the App are not a substitute for professional medical advice, diagnosis, or treatment from a qualified healthcare provider, podiatrist, or orthopedic specialist.

You should always consult a licensed healthcare professional before making any decisions about your health or your child's health based on information provided by the App. Never disregard professional medical advice or delay seeking it because of information you have received through the App. If you believe you or your child has a medical emergency, call your local emergency services immediately.

The Company does not guarantee the accuracy, completeness, or reliability of any AI-generated analysis or recommendation. Results may vary and are influenced by the quality of images provided, lighting conditions, and other factors.

6. User Content and License Grant

6.1 Your Content

You retain ownership of all images, videos, and other content you submit through the App ("User Content"). By submitting User Content to the App, you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, modify, and store your User Content for the purposes of providing the App's services to you, improving the App, and as described in Section 6.2.

6.2 AI Training License

You acknowledge and agree that by using the App, anonymized and de-identified versions of your foot scan images and related data may be used to train, develop, test, improve, and refine our AI and machine learning models. This license is perpetual and irrevocable with respect to anonymized data that has already been incorporated into our models. You may opt out of future data contributions through your account settings, but data that has already been anonymized and integrated cannot be retroactively removed from trained models.

6.3 Representations

You represent and warrant that you have all necessary rights and permissions to submit User Content to the App, that your User Content does not infringe upon the intellectual property or privacy rights of any third party, and that you have obtained all necessary consents (including parental consent for minors) for the collection and processing of such content.

7. Intellectual Property

The App, including its AI models, algorithms, software, design, graphics, text, logos, trademarks, and all other content and materials (collectively, "Company Content"), are the exclusive property of Footwear Foundationz Inc. and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works from any part of the App or Company Content.

8. Prohibited Conduct

You agree not to:

•       Use the App for any unlawful purpose or in violation of any applicable laws or regulations

•       Upload or transmit content that is obscene, offensive, defamatory, fraudulent, or otherwise objectionable

•       Attempt to gain unauthorized access to any part of the App, its servers, or any connected systems

•       Use automated means (bots, scrapers, crawlers) to access or interact with the App

•       Interfere with or disrupt the integrity, security, or performance of the App

•       Impersonate any person or entity, or misrepresent your affiliation with any person or entity

•       Collect, harvest, or store personal information of other users

•       Use the App to generate false or misleading health information

•       Attempt to reverse engineer, decompile, or extract the source code or AI models of the App

•       Resell, sublicense, or commercially exploit the App or its outputs without prior written consent

9. Fees and Purchases

The NUKIX App is free to download and use for basic foot scanning and report generation. Certain features, products (such as corrective insoles), or premium services may require payment. All purchases are processed through third-party payment providers (such as Google Play or Apple App Store). Prices are subject to change. Refund policies are governed by the applicable app store's terms. We are not responsible for any fees charged by your mobile carrier or internet service provider in connection with your use of the App.

10. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED ANALYSIS, REPORT, OR RECOMMENDATION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOOTWEAR FOUNDATIONZ INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP, ANY AI-GENERATED CONTENT OR RECOMMENDATIONS, OR ANY CONDUCT OR CONTENT OF ANY THIRD PARTY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless Footwear Foundationz Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) any User Content you submit; or (e) any reliance on AI-generated reports or recommendations provided by the App.

13. Termination

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. You may terminate your account at any time by deleting your account through the App settings or by contacting us. Upon termination, your right to use the App will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5, 6.2, 7, 10, 11, 12, 14, and 15.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration administered by the ADR Institute of Canada in Mississauga, Ontario. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the App and supersede all prior agreements, understandings, and communications.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

15.3 Waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemic, internet or telecommunications failures, or cyberattacks.

15.6 Amendments

We reserve the right to modify or replace these Terms at any time. Material changes will be communicated through the App or via email with at least 30 days' notice. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.
